Law firm act in deal with global comms group

Expert advisers from law firm Higgs & Sons have assisted with the sale of Worcestershire based Encription Limited to global communications group, Blackberry.

The deal was completed on 19th February at Higgs’ Waterfront headquarters in Brierley Hill.

The Encription group operates from a secure location in Worcestershire, keeping abreast of the latest security threats and working with organisations to develop and maintain IT security standards, defences and techniques. It spans entities in the UK and Ireland, providing Penetration Testing and IT Security training courses to a range of private companies and public sector organisations, and dealing with a number of GCHQ and other top secret mandates.

Jamie Partington, an Associate in Higgs & Sons’ corporate department who specialises in working with high-growth, high tech companies, guided the Encription shareholders through the cross border transaction, with support provided by Dillon Eustace in Dublin on Irish jurisdictional elements.

He said: “Everyone has worked really hard over the last couple of months to deliver this project against a tight time-frame, and we were delighted to get it over the line for the shareholders.

“Negotiations bridged England, Canada, Dublin and New York – and the successful and swift completion was satisfying for everyone involved.”

Managing Director of Encription, Tony McDowell, echoed the sentiments: “We were always looking to move as quickly as possible on this deal, and it was thanks to the diligence of Jamie, Nick Taylor (Head of Corporate) and the team at Higgs, and their experience in transactions of this nature, that we were able to achieve this.”
